Swappd Terms of Service

1. Acceptance of Terms

By downloading, accessing, or using Swappd ("Swappd," "the App"), you agree to these Terms of Service ("Terms"). If you do not agree, you must not use the App.

Swappd is operated by Oleksandr Gribov ("we," "our," or "us"). Swappd has no user accounts — an anonymous identifier is generated automatically when you first launch the App, and you use the App without signing in.

2. Description of Service

Swappd is an iOS application that lets you visualize aftermarket automotive parts — such as wheels, bumpers, and spoilers — on a vehicle using augmented reality (AR), and browse, save, and follow parts. The App provides visual previews and information only. It does not sell parts and does not guarantee real-world fitment, compatibility, or installation results.

3. Eligibility

Swappd is a general-audience app intended for users 13 years of age or older and is not directed to children under 13. By using the App, you represent that you are at least 13 and that your use complies with all applicable laws. If you are under 13, you may not use the App or make any Submission.

4. Acceptable Use

You agree not to:

• use the App for any unlawful purpose or in violation of these Terms
• submit or transmit content that is illegal, infringing, or otherwise prohibited (see Section 5)
• attempt to reverse engineer, decompile, or modify the App, except where this restriction is prohibited by law
• interfere with, disrupt, or attempt to gain unauthorized access to the App or its infrastructure
• misuse, manipulate, or attempt to falsify analytics, votes, or other technical systems (including circumventing the anonymous identifier to cast multiple votes); or
• use the App to harass, harm, impersonate, or violate the rights of others.

5. User-Generated Content ("Featured Builds")

The App lets you submit content to the "Featured Builds" feature, including a photo of your car, the car's year/make/model, and an optional Instagram handle ("Submissions").

5.1 Content License

By making a Submission, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, adapt (for example, resize or reformat), publish, publicly display, and distribute your Submission within the App and in connection with operating and promoting the App's Featured Builds feature. This license exists so that we can host and display your approved Submission. The license continues for approved Submissions while they remain in the App and terminates within a reasonable time after the Submission is removed, except for residual or cached copies that may persist beyond our control and for copies we must retain to comply with law.

You retain ownership of your Submission.

5.2 Your Representations

By making a Submission, you represent and warrant that:

• you own or have all necessary rights to the content you submit (including the photograph and anything depicted in it)
• your Submission does not infringe or violate any third party's intellectual property, privacy, publicity, or other rights
• you have the right to share any Instagram handle you provide
• your Submission complies with the content standards below.

5.3 Content Standards

You agree that your Submission will not contain or depict:

• unlawful, infringing, or fraudulent content
• content that violates the rights of others, including intellectual property, privacy, or publicity rights
• sexually explicit, hateful, harassing, threatening, or violent content
• personal information of other people without their consent (for example, identifiable individuals or readable license plates)
• malware or anything designed to disrupt the App; or
• content that is otherwise objectionable or inappropriate.

5.4 Moderation and Removal

All Submissions are moderated. We may, at our sole discretion and without obligation, review, approve, reject, refuse to display, or remove any Submission at any time, with or without notice. If a Submission is approved, it will be displayed publicly within the App, including the photo, the car details, and the Instagram handle if you provided one. We are not obligated to display, retain, or back up any Submission.

5.5 Removal Requests

You can request removal of your Submission through the in-app deletion-request path, or by contacting us at alex@swappd.app. Once we process a valid request, the Submission will no longer be displayed publicly in the App. Cached or previously downloaded copies may persist for a period outside our control.

5.6 Reporting Content

The App provides a report/flag feature so that users can notify us of Featured Builds they believe are inappropriate or violate these Terms. We review reports and may take action consistent with Section 5.4, but we do not guarantee any particular outcome or response time.

6. Affiliate Disclosure

Some links in the App direct you to third-party retailers and may contain affiliate or tracking parameters (such as UTM and affiliate codes, including the relevant item ID). This means we may earn a commission or other compensation when you click a link and make a qualifying purchase, at no additional cost to you. This affiliate relationship does not influence the price you pay, and it does not constitute an endorsement or guarantee of any retailer or product.

7. Third-Party Links and Content

The App contains links to third-party websites and services (including retailers) and may display items that represent real-world automotive parts or brands.

We do not control and are not responsible for third-party websites, services, content, products, pricing, availability, or practices. Your dealings with third parties — including any purchase — are solely between you and the third party, and are governed by their terms and privacy policies.

References to real-world parts, designs, or brands are for visualization purposes and do not imply any endorsement, partnership, or affiliation unless expressly stated.

8. AR and Visualization Disclaimer

Swappd provides visual approximations of automotive parts using AR. Renderings are approximate and for conceptual and entertainment purposes only, and are not a guarantee of real-world appearance or fitment. Accuracy is not guaranteed with respect to size, proportion, positioning, color, lighting, vehicle compatibility, or real-world appearance, and actual results may differ significantly depending on vehicle model, trim, wheel/fitment specifications, installation methods, and conditions.

The App does not verify or guarantee that any part shown fits a specific vehicle, is mechanically compatible, complies with manufacturer specifications, or complies with local laws or regulations. You are solely responsible for independently verifying all compatibility, fitment, legality, and installation requirements with manufacturers or qualified professionals before purchasing or installing any part. Swappd does not provide automotive, engineering, installation, or regulatory advice.

9. AR Safety

AR features interact with your physical surroundings. Remain aware of your environment at all times when using the App, and do not use AR features while driving or in any situation where distraction could be dangerous. You assume full responsibility for using the App safely.

10. Intellectual Property

Except for user Submissions, all content in the App — including its design, software code, AR rendering systems, 3D models, graphics, and trademarks — is owned by us or our licensors. You may not copy, distribute, modify, reproduce, or create derivative works from any part of the App without our prior written permission.

11. Availability and Changes to the Service

We strive to keep the App available but do not guarantee uninterrupted or error-free access. We may modify, suspend, update, or discontinue the App or any feature at any time, with or without notice.

12. Disclaimer of Warranties

To the fullest extent permitted by law, the App is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be error-free, accurate, secure, compatible with all devices, or continuously available.

13. Limitation of Liability

To the fullest extent permitted by law, Oleksandr Gribov and Swappd shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the App. This includes, without limitation, any damages relating to:

• vehicle damage, incorrect fitment, or modification outcomes
• decisions made based on the App's visualizations or information
• purchases made through third-party retailers; or
• user Submissions or content shared by you or others.

Use of the App is at your own risk. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in such cases our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless Oleksandr Gribov and Swappd from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Submissions, your use of the App, or your violation of these Terms or applicable law.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms with a new "Last updated" date. Your continued use of the App after an update constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the App.

16. Governing Law

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of Ukraine, to the extent permitted by applicable law.
